Booka Terms & Conditions

These Terms govern your relationship with Booka as a platform. They explain how the platform works, how bookings are formed, how records and payments are handled, and what legal rules apply when you use Booka.

1. Acceptance and Scope

These Terms and Conditions govern access to and use of the Booka platform, including our website, applications, messaging flows, quote workflows, booking workflows, support channels, and booking records made available by Booka SA (Pty) Ltd.

By creating an account, browsing listings, requesting a quote, sending a message, accepting a booking, making a payment, or otherwise using Booka, you agree to these Terms.

You must be at least 18 years old to use Booka.

If you use Booka on behalf of a business or other legal entity, you confirm that you have authority to bind that entity.

These Terms govern your relationship with Booka as a platform and do not make Booka the supplier of the booked service unless Booka expressly states otherwise in writing.

2. Nature of the Platform

Booka provides a technology platform through which Clients and Service Providers can connect, communicate, exchange quotes, accept bookings, manage related payments, and access booking records.

Booka facilitates the framework within which bookings are made, but does not itself supply or perform the underlying service and does not become a party to the service contract between the Client and the Service Provider.

Service Providers are independent contractors. They are not employees, agents, partners, brokers, or representatives of Booka.

Booka does not guarantee the availability, quality, legality, suitability, safety, punctuality, or performance of any Service Provider, Client, space, or service.

Any reference to a provider being verified, featured, recommended, or similar is descriptive of platform status only and is not a guarantee of performance.

3. Accounts and Eligibility

You must provide accurate, current, and complete information when creating and using your account.

You are responsible for safeguarding your login credentials and for activity carried out through your account.

You must promptly update your information if it changes.

Booka may request identity, payment, fraud-prevention, risk, compliance, or KYC information where reasonably necessary.

4. Listings, Quotes, and Responsibility

Service Providers are responsible for the content they publish and the services they offer through Booka.

Each Service Provider is solely responsible for listings, descriptions, prices, packages, availability, qualifications, legality of services, and any submitted content.

Each Service Provider is solely responsible for compliance with applicable law, permits, licences, tax obligations, and industry-specific requirements relating to its services.

Clients are responsible for reviewing the listing, quote, booking details, total charges, cancellation terms, and any special terms before confirming a booking.

Booka may remove, reject, moderate, suspend, freeze, or de-prioritise listings or content where reasonably necessary for quality control, trust and safety, fraud prevention, legal compliance, or platform integrity.

5. Booking Formation and Separate Service Contract

A legally binding contract for the booked service is formed directly between the Client and the relevant Service Provider when the Client accepts the applicable quote or booking terms and completes the required confirmation or payment step.

That provider-client contract is separate from these Terms. Booka is not a party to that service contract and does not assume obligations under it merely because the booking was made through the platform.

The provider-client contract consists of the accepted quote, the booking details shown before confirmation, the Universal Service Agreement, provider-specific or service-specific terms shown before checkout, and later written variations recorded through Booka.

Booka’s standard form of provider-client agreement is the Universal Service Agreement published on the platform.

Booka will identify the Service Provider as the supplier of the underlying service in the booking flow, booking confirmation, and booking record, except where Booka expressly states otherwise in writing.

6. Checkout, Booking Review, and Records

Before final booking confirmation, Booka will provide users with a reasonable opportunity to review the provider identity, scope, total price, material booking terms, cancellation terms, and relevant inputs, and to correct obvious input errors before submission.

Booka may make booking confirmations, booking schedules, accepted quotes, receipts, and similar records downloadable, emailable, viewable in account history, or otherwise capable of being stored and reproduced.

Platform records may include messages, quote histories, booking logs, timestamps, payment statuses, support records, and related transaction history.

These platform functions do not make Booka the supplier of the underlying service or a contracting party to the provider-client agreement.

7. Payments, Holds, Payouts, and Fees

Booka may facilitate payment workflows through one or more third-party payment providers.

Unless Booka expressly states otherwise in writing, Booka acts only as a payment facilitation and transaction workflow provider and not as the supplier of the underlying service, agent of either party, trustee, or escrow holder.

Booka may place temporary booking, availability, or payment holds while checkout is in progress.

Booka may delay, suspend, reverse, or withhold payout or refund processing where reasonably necessary for fraud prevention, chargeback risk, identity verification, dispute handling, legal compliance, payment failure, misuse of the platform, or other material risk.

If a payment is reversed, charged back, fails, is recalled, or is reasonably suspected to be fraudulent or unauthorised, Booka may cancel or suspend the related workflow, reverse provisional records, hold or recover amounts, or take other reasonable action.

Service Providers determine their own service pricing.

Booka may charge service fees, platform fees, commissions, processing fees, or similar charges to either party, provided those fees are disclosed before the relevant transaction is completed.

All pricing, payments, payouts, and refunds are processed and displayed in South African Rand (ZAR / R) unless Booka expressly states otherwise in writing.

8. Cancellations, Refunds, and Service Failures

Cancellation and refund outcomes are governed by the Service Provider’s terms disclosed before booking, the booking details and accepted quote, and applicable South African law.

Booka may assist with workflow, records, communication, payment handling, support, or moderation relating to cancellations and refunds, but Booka does not automatically become the decision-maker or supplier by doing so.

Refunds are routed through the original payment method or another Booka-designated refund workflow, subject to applicable law, payment-provider capability, and operational constraints.

Any retained deposit, forfeiture, cancellation fee, or refund adjustment remains subject to applicable law, including any rule requiring the term to be fair, reasonable, properly disclosed, and enforceable in the circumstances.

Nothing in these Terms excludes any non-excludable consumer right or remedy.

9. Variations and Rescheduling

A variation includes any change to the date, time, location, duration, scope, deliverables, technical requirements, travel, accommodation, staffing, or price of a booking.

A variation is binding only when clearly recorded and accepted through Booka or another written method recognised by Booka.

A variation may affect price, timing, availability, logistics, cancellation consequences, or refund outcomes.

10. Disputes and Platform Assistance

Disputes about the underlying service arise primarily between the Client and the Service Provider.

Booka may, but is not obliged to, assist by giving access to platform records, facilitating communication, reviewing timestamps or payment status, placing payments or payouts under review, or taking moderation and trust-and-safety action.

Booka is not a court, arbitrator, tribunal, ombud, or adjudicator, is not obliged to resolve every dispute, and does not guarantee any outcome.

Nothing in these Terms prevents any user from pursuing any legal remedy available under applicable law.

11. Electronic Contracting and Records

Agreements may be concluded electronically through Booka.

Clicking a confirmation button, checking an acceptance box, digitally approving a quote, completing checkout, or taking a similar recorded action may constitute acceptance, consent, approval, and signature for the relevant transaction to the extent permitted by law.

Booka records, including messages, quote histories, acceptance logs, timestamps, payment confirmations, booking confirmations, and related data messages, may be used as evidence of offer, acceptance, agreed terms, payment status, and later variations.

Users consent to receiving legally relevant notices and records electronically, except to the extent the law requires another method.

12. Personal Information and POPIA

Booka processes personal information in accordance with applicable law and the Booka Privacy Policy.

Booka may collect, use, store, and share personal information reasonably necessary for booking administration, payment processing, fraud prevention, support, moderation, compliance, communication, analytics where applicable, dispute handling, and service improvement.

Booka may share relevant booking information with Clients, Service Providers, payment providers, operators, support providers, compliance providers, and regulators where reasonably necessary for the booking or where required by law.

Each user must use personal information received through Booka only for lawful purposes connected to the booking, support, compliance, communication, or dispute handling.

13. Liability and Legal Limits

To the maximum extent permitted by law, Booka is not liable for losses arising from the acts or omissions of Clients, Service Providers, spaces, or other third parties.

To the maximum extent permitted by law, Booka is not liable for service failure, non-performance, delay, cancellation, quality disputes, user-supplied content or information, payment failure, chargebacks, bank delays, or indirect and consequential loss.

Booka is liable only to the extent required by law or to the extent loss is caused by Booka’s own wrongful conduct.

Nothing in these Terms excludes or limits any liability or right that cannot lawfully be excluded or limited under South African law.

Where applicable law requires special notice or express assent for a term that limits liability, allocates risk, contains an indemnity, or includes an acknowledgment of risk, Booka may require a separate click, tick-box, or similar recorded acceptance before a booking is confirmed or a transaction is completed.

14. Changes to Terms

Booka may update these Terms from time to time.

Any updated Terms apply prospectively from the date they are published or otherwise notified, unless the law requires another approach.

Changes do not retroactively alter already-confirmed provider-client bookings unless required by law or expressly agreed.

15. Governing Law and General

These Terms are governed by the laws of South Africa.

If any provision is unlawful or unenforceable, it must be read down or severed to the minimum extent necessary and the rest remains in effect.

A failure or delay to enforce any right is not a waiver.

Booka may provide notices through the platform, by email, or by another electronic method reasonably associated with your account.
